By accessing or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of the website.

The website provides general information about Luminous Salon Suites, including:

2. Suite Licensing and Pre-License Process
Luminous Salon Suites operates a private-suite licensing business model. Luminous may operate as a Texas Department of Licensing and Regulation (“TDLR”) gallery establishment that provides private suites and related common areas for independently operated beauty and wellness businesses. The website does not create a licensor-licensee relationship. Submitting an inquiry, requesting information, scheduling a tour, joining an interest list, communicating with Luminous, or completing any website form does not:

Reserve or hold a suite;

Guarantee the availability of a specific suite;
-
Guarantee a particular price, furnishing package, or suite configuration;
-
Create a licensor-licensee relationship;
-
Constitute approval to operate at the facility;
-
Guarantee eligibility for a suite, promotion, or incentive;
-
Create a binding license;
-
Grant access to the facility or any suite; or
-
Establish any right to use or occupy real property.
No suite will be reserved or held unless and until the prospective licensee:

Executes a separate written Pre-License Agreement, if required by Luminous;
-
Pays the required preliminary deposit, which may equal 50% of the applicable Security Deposit;
-
Completes any required screening, verification, or approval process; and
-
Executes the applicable Salon Suite License Agreement.
A Pre-License Agreement is separate from and does not replace the Salon Suite License Agreement. Actual suite use and occupancy are governed exclusively by the executed Salon Suite License Agreement and its exhibits, addenda, facility rules, and other written requirements.
The Salon Suite License Agreement contains the complete terms governing suite use, including license fees, security deposits, term, access, permitted use, professional licensing, insurance, maintenance, customization, signage, rules, default, termination, and related obligations.
If information on this website differs from an executed Pre-License Agreement or Salon Suite License Agreement, the applicable executed written agreement will control.
3. Licensee Eligibility and Professional Licensing
Prospective licensees must hold a current and valid professional license issued by TDLR or another applicable licensing authority for each service they intend to provide at the facility.
Suite use is subject to:

All applicable TDLR requirements;

The licensee’s professional license remaining current and in good standing;
-
Applicable federal, state, and local laws, ordinances, codes, and regulations;
-
The facility’s permitted uses and restrictions;
-
Any applicable health, safety, sanitation, and operational requirements;

The executed Salon Suite License Agreement; and
-
Luminous’s facility rules and regulations.
Luminous may require a copy of a professional license, license number, expiration date, or other supporting information before approving a prospective licensee or providing suite access.
A professional license does not guarantee approval for a suite. Luminous may also impose reasonable service, equipment, layout, safety, or operational restrictions consistent with the facility’s permits, master occupancy requirements, TDLR requirements, applicable law, or the Salon Suite License Agreement.
Licensees are independently responsible for maintaining all licenses, permits, registrations, certifications, insurance, tax accounts, and other authorizations required for their individual businesses and services.
4. Pricing and Availability
Pricing, license fees, security deposits, furnishing options, suite sizes, amenities, availability, and other licensing details displayed on the website may change at any time.
Advertised pricing, including “starting at” rates, is provided for informational purposes and may vary based on factors including:

Suite size and location;

Furnished or unfurnished configuration;

Availability;
-
Customization requests;
-
Promotional terms;
-
License term;
-
Additional services or approved equipment; and

Other applicable written terms.

A suite is not considered reserved or held based solely on website activity, verbal communications, email communications, tour attendance, or submission of an inquiry.
5. Promotions and Special Offers
Luminous Salon Suites may periodically advertise introductory offers, grand-opening incentives, promotional pricing, free-license-fee periods, referral incentives, or other special offers.
Unless otherwise stated in the applicable promotional terms, offers:

Tour attendance does not create a reservation, approval, license, or right to access or use any suite.

Nothing in these website Terms modifies the governing-law, dispute-resolution, or other provisions contained in a separate executed Pre-License Agreement, Salon Suite License Agreement, or other written agreement entered into with Luminous Salon Suites.
23. Dispute Resolution and Venue
Before filing a legal action arising out of or relating to these Terms or the website, the parties should attempt in good faith to resolve the dispute through direct written communication. If the dispute cannot be resolved informally, any court proceeding arising out of or relating to these Terms or the website shall be brought in a state court located in Tarrant County, Texas, or the applicable federal court serving that county. You consent to the personal jurisdiction and venue of those courts to the extent permitted by law. This section does not prevent either party from seeking emergency, injunctive, or equitable relief when necessary to protect intellectual property, confidential information, personal safety, property, or legal rights.
24. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable. The invalidity or unenforceability of any provision will not affect the validity or enforceability of the remaining provisions.
25. No Waiver
Luminous Salon Suites’ failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
A waiver will be effective only if provided in writing by an authorized representative of Luminous Salon Suites. A waiver of one breach does not constitute a waiver of any subsequent or different breach.
26. Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Luminous Salon Suites concerning your use of the website.
These Terms supersede prior or contemporaneous website-related understandings, communications, and representations concerning the subject matter addressed herein.
These Terms do not replace, amend, modify, or supersede any separate written Pre-License Agreement, Salon Suite License Agreement, promotion terms, or other agreement signed by Luminous Salon Suites and a prospective or approved licensee. In the event of a conflict, the applicable executed written agreement will control with respect to its subject matter.
27. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Luminous Salon Suites.
Luminous Salon Suites may assign or transfer its rights and obligations under these Terms in connection with a merger, reorganization, sale of assets, change in control, or other business transaction.
28. Electronic Communications
When you communicate with Luminous Salon Suites electronically, including by email or through website forms, you consent to receive communications electronically. Electronic communications may include notices, responses, confirmations, updates, disclosures, and other information related to your inquiry, tour, interest-list registration, or use of the website. Electronic communications satisfy any legal requirement that the communication be in writing, except where applicable law requires a different method.
